Legal Disclaimer
By participating in the Add Ventures Construction Free Roof Giveaway (the “Giveaway”), each entrant (“Participant”) fully and unconditionally agrees to be bound by these Official Rules, Terms and Conditions, and this Legal Disclaimer, and further agrees to accept all decisions of Add Ventures Construction (“Sponsor”), which shall be final and binding in all matters relating to the Giveaway.
1. Release of Liability: To the fullest extent permitted by law, Participant, for themselves and their respective heirs, executors, administrators, successors, and assigns, hereby voluntarily and irrevocably release, discharge, indemnify, and hold harmless Add Ventures Construction and its affiliates, subsidiaries, advertising and promotion agencies, franchisees, officers, directors, shareholders, employees, representatives, agents, successors, and assigns (collectively, the “Released Parties”), from and against any and all claims, actions, liabilities, losses, injuries, damages, costs, or expenses of any kind arising in whole or in part, directly or indirectly, from: (a) participation in the Giveaway; (b) acceptance, possession, use, misuse, or nonuse of any prize; (c) any activity, travel, or event related thereto; or (d) any breach or alleged breach of these Official Rules or any applicable law.
2. No Warranty: ALL PRIZES ARE AWARDED “AS IS” AND WITHOUT WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SPONSOR MAKES NO REPRESENTATION OR WARRANTY REGARDING THE QUALITY, PERFORMANCE, OR SAFETY OF ANY PRIZE AWARDED.
3. Limitation of Liability: IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE RELEASED PARTIES’ TOTAL AGGREGATE LIABILITY IN CONNECTION WITH THIS GIVEAWAY SHALL NOT EXCEED THE RETAIL VALUE OF THE PRIZE ACTUALLY AWARDED.
4. Assumption of Risk: Participants assume all risk of loss, injury, death, or property damage arising out of participation in the Giveaway, use or misuse of any prize, or any related activity, and acknowledge that Sponsor is not responsible or liable for any injury, loss, or damage to persons or property resulting from participation.
5. Disqualification and Right to Modify: Sponsor reserves the right, in its sole discretion, to disqualify any Participant who tampers with the entry process, violates these rules, engages in fraud, or acts in a disruptive or unsportsmanlike manner. Sponsor further reserves the right, in its sole and absolute discretion, to cancel, suspend, modify, or terminate the Giveaway at any time, for any reason, including but not limited to fraud, technical failures, viruses, bugs, human error, or any other factor that impairs the integrity or proper functioning of the Giveaway.
6. Force Majeure: Sponsor shall not be liable to any Participant or any other person for failure to supply the prize or to continue the Giveaway, or any part thereof, by reason of any event of force majeure, including, but not limited to, acts of God, war, terrorism, fire, flood, explosion, earthquake, epidemic, pandemic, civil disturbance, labor dispute, government action, or any other cause beyond Sponsor’s reasonable control.
7. Compliance with Laws: The Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited or restricted by law. Sponsor reserves the right to seek all remedies available at law or in equity for violations of these Official Rules or any applicable law.
8. Non-Transferability; Substitution: The prize is non-transferable, non-assignable, and may not be redeemed for cash. Sponsor reserves the right, in its sole discretion, to substitute a prize (or a component thereof) with one of equal or greater value. All prize details are at Sponsor’s sole discretion.
9. Publicity Release: By entering and, if applicable, accepting a prize, Participants grant Sponsor, its affiliates, and agents an irrevocable, perpetual, worldwide, royalty-free license and right to use, reproduce, publish, display, perform, adapt, modify, distribute, and otherwise exploit their name, likeness, image, voice, address (city and state), biographical information, photographs, videos, and statements for advertising, trade, publicity, and promotional purposes in any and all media (including the Internet and social media) now or hereafter known, without further compensation, permission, or notification, except where prohibited by law.
10. Waiver: Failure of Sponsor to enforce any provision of these Official Rules or this Legal Disclaimer shall not constitute a waiver of that or any other provision.
11. Severability: If any provision of these rules or this Legal Disclaimer is found by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall be enforced to the maximum extent permitted by law.
BY PARTICIPATING IN THE GIVEAWAY, EACH ENTRANT AFFIRMS THAT THEY HAVE READ, UNDERSTAND, AND ACCEPT THESE TERMS, CONDITIONS, AND LEGAL DISCLAIMERS, AND THAT THEY RELEASE THE RELEASED PARTIES FROM ANY AND ALL LIABILITY, CLAIMS, AND DAMAGES IN CONNECTION WITH THE GIVEAWAY AND PRIZE.
